We, Benedict Soh Siak Poh and Simon Ong Chin Sim, being two of the directors of Kingsmen Creatives Ltd. (the “Company”), do hereby state
that, in the opinion of the directors,
(i) the accompanying balance sheets, consolidated income statement, consolidated statement of comprehensive income, statements of
changes in equity, and consolidated cash fow statement, together with the notes thereto, are drawn up so as to give a true and fair
view of the state of affairs of the Group and of the Company as at 31 December 2011 and the results of the business, changes in equity
and cash fows of the Group and changes in equity of the Company for the fnancial year ended on that date; and
(ii) at the date of this statement, there are reasonable grounds to believe that the Company will be able to pay its debts as and when they
fall due.
