The Board of Directors of Kingsmen Creatives Ltd. ("the Company") wishes to announce that its wholly-owned subsidiary, Kingsmen Projects Pte Ltd, had on 15 March 2006 incorporated a wholly-owned subsidiary in Malaysia, known as K-Fix Production Sdn. Bhd. ("K-Fix").
K-Fix has an authorised share capital of RM100,000.00 divided into 100,000 shares of RM1.00 each, and an issued and paid-up capital of RM10,000.00. The principal activity of K-Fix is the manufacture of interior and exhibition furniture, as well as fixtures and displays.
The incorporation of K-Fix is not expected to have a material impact on the earnings per share and the net tangible assets per share of the Company for the financial year ending 31 December 2006.
None of the directors or substantial shareholders of the Company has any direct or indirect interest, in K-Fix.
