3.5 Potential cost
The Scheme is considered a share-based payment that falls under the scope of FRS 102, Share-based Payment.
For the grant of Awards, the fair value of employee services received in exchange for the grant of such Awards
would be determined by reference to the fair value of each Award granted on the date of the grant and would
be recognised as an expense in the Group’s income statement with a corresponding adjustment to the share
capital account when new Shares are issued, or to treasury shares account when treasury shares are re-issued
to the employees. The fair value of the Proposed Awards to Mr. Benedict Soh, Mr. Simon Ong and Mr. Roy Ong
is expected to be the prevailing market price per Share on the date of grant multiplied by the number of Shares
under each Award.
4.

As at the Latest Practicable Date, the interests of the Directors in the Shares, as extracted from the Company’s Register
of Directors’ Shareholdings, and the interests of substantial Shareholders (being a Shareholder whose interest in the
