THIS CIRCULAR IS IMPORTANT AND REQUIRES YOUR IMMEDIATE ATTENTION.
This Circular is circulated to the shareholders (the “
Shareholders
”) of Kingsmen Creatives Ltd. (the “
Company
”), together
with the Company’s annual report for the financial year ended 31 December 2014 (the “
Annual Report
”). Its purpose is
to provide the Shareholders with information relating to, and explain the rationale for, the proposed grant of awards to
controlling shareholders and an associate of a controlling shareholder under the Kingsmen Performance Share Scheme, to
be tabled at the annual general meeting (“
AGM
”) of the Company to be held on 30 April 2015 at 11.00 a.m. at 3 Changi South
Lane, Kingsmen Creative Centre, Singapore 486118.
The notice of the Company’s AGM and a proxy form are enclosed with the Annual Report.
If you have sold or transferred all your shares in the capital of the Company, you should immediately forward this Circular,
the Annual Report and proxy form to the purchaser or transferee or to the bank, stockbroker or agent through whom the
sale or transfer was effected for onward transmission to the purchaser or transferee.
